For a petition under s 994 of the Companies Act 2006 to succeed, the petitioner must establish that:
(i) the acts or omissions of which he complains consist of the management of the affairs of the company;
(ii) the conduct of those affairs has caused prejudice to his interests as a member of the company; and
(iii) the prejudice is unfair.
